This End User License Agreement (“Agreement” or “EULA”) is a legally binding agreement between you (“User,” “you,” or “your”) and Hunt HQ LLC (“Hunt HQ LLC,” “we,” “us,” or “our”).

This Agreement governs your access to and use of the HNTCamp mobile application, web application, and related services (collectively, the “App”).

By downloading, installing, accessing, or using the App, you acknowledge that you have read, understand, and agree to be bound by this Agreement. If you do not agree, do not install or use the App.

Use of the App is also governed by the HNTCamp Privacy Policy, which explains how Hunt HQ LLC collects, uses, stores, and shares information. By using the App, you acknowledge the collection and use of information as described in the Privacy Policy.

1. License Grant

Hunt HQ LLC grants you a limited, non-exclusive, non-transferable, revocable license, subject to the terms of this Agreement, an active Subscription associated with a Camp, and continued authorization by a Camp Administrator, to access and use the App solely for lawful purposes and only for the intended functionality of managing and participating in Camp-related activities through the App.

Access to and use of the App is granted on a Camp-level basis and is controlled by the Camp’s designated Administrator(s). Individual Users are granted access solely through their association with a Camp and may not access the App independently of a valid Camp Subscription.

This license is contingent upon:
(a) the maintenance of an active Subscription for the applicable Camp;
(b) the User’s continued authorization by the Camp’s Administrator(s); and
(c) the User’s compliance with this Agreement and any applicable Terms of Use.

This license may be revoked or suspended at any time, without notice, if:
(i) the applicable Subscription is terminated or becomes inactive;
(ii) the User is removed from a Camp by an Administrator; or
(iii) the User violates this Agreement or applicable policies.

The license granted herein is personal to the User, may not be transferred, assigned, or sublicensed, and does not grant any ownership interest in the App or its underlying technology.

2. Restrictions

You agree that you will not, directly or indirectly:

(a) copy, modify, reproduce, distribute, sell, lease, sublicense, or otherwise exploit the App or any portion of it for any purpose not expressly permitted under this Agreement;

(b) reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying structure, or algorithms of the App;

(d) access or use the App in any manner that exceeds your authorized access, including attempting to access data, accounts, or Camps to which you have not been granted permission;

(e) share, transfer, or allow others to use your account credentials, or otherwise permit unauthorized access to your account or a Camp;

(f) circumvent, disable, or interfere with any security features, access controls, or operational safeguards of the App, including those implemented by Hunt HQ LLC or by Camp Administrator(s);

(g) use any automated system, software, script, bot, crawler, scraper, or similar mechanism to access, collect, extract, or interact with the App or its data;

(h) interfere with, disrupt, or place an unreasonable burden on the App’s infrastructure, servers, or networks, or attempt to gain unauthorized access to any systems or networks connected to the App;

(i) use the App for any purpose outside of its intended functionality as a Camp management and coordination tool, or in any manner that could create liability, harm, or risk for Hunt HQ LLC or other Users;

(j) collect, use, or disclose personal, financial, or operational data of other Users or Camps without proper authorization;

(k) use the App in connection with any unlawful, fraudulent, or unauthorized activity.

3. Account Registration and Responsibility

You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account, whether authorized by you or not.

You agree to provide accurate, current, and complete information when creating an account and to update such information as necessary to maintain its accuracy.

Access to the App is provided through a Camp-based structure. Your ability to access and use the App is subject to authorization by the applicable Camp’s Administrator(s), and your permissions within the App may be modified or revoked at any time by such Administrator(s).

If you are an Administrator of a Camp, you are responsible for managing access to the Camp, including inviting, assigning permissions to, and removing Users. Hunt HQ LLC does not control or manage the internal operations, decisions, or user access within any Camp.

You agree not to share, transfer, or otherwise allow any third party to access the App using your account credentials. Accounts are personal to the User and may not be assigned or transferred.

You agree to notify Hunt HQ LLC immediately of any unauthorized access to or use of your account or any other breach of security. Hunt HQ LLC shall not be liable for any loss or damage arising from your failure to comply with these obligations.

4. User Content

You retain ownership of any content, data, information, images, or materials that you upload, submit, or otherwise make available through the App (“User Content”).

By submitting User Content through the App, you grant Hunt HQ LLC a worldwide, non-exclusive, royalty-free, transferable license to use, host, store, reproduce, modify (solely as necessary to operate and improve the App), display, and distribute such User Content for the purpose of providing, maintaining, and improving the App and its functionality.

You represent and warrant that:
(a) you own or have all necessary rights, permissions, and authority to submit the User Content; and
(b) your User Content does not violate any applicable law, regulation, or the rights of any third party.

You are solely responsible for your User Content and any consequences arising from its submission, sharing, or use within the App, including any interactions, disputes, or claims involving other Users.

User Content submitted within a Camp may be visible to other Members and Administrator(s) of that Camp, and you acknowledge that Hunt HQ LLC does not control how such Users access, use, or share that content.

Hunt HQ LLC reserves the right, but not the obligation, to review, remove, restrict access to, or disable any User Content at its sole discretion, with or without notice, if it believes such content violates this Agreement or may create risk or liability.

Hunt HQ LLC does not guarantee the storage, availability, or retention of any User Content. User Content may be deleted, modified, or made inaccessible at any time, including upon termination of your account, removal from a Camp, or termination of a Subscription, without liability to you.

5. Location Services and Device Permissions

The App may request access to certain device features and permissions, including but not limited to location services, camera, photos, and notifications, in order to provide its functionality.

By using the App, you consent to the App accessing and using such device features and permissions as authorized through your device settings. You may enable or disable these permissions at any time through your device; however, certain features or functionality of the App may be limited or unavailable if such permissions are not enabled.

You acknowledge and agree that any location-based features or data provided through the App may be inaccurate, incomplete, delayed, or unavailable. Hunt HQ LLC does not guarantee the accuracy, precision, or timeliness of any location data or related functionality.

The App is not intended to be relied upon for navigation, safety, real-time coordination, or decision-making in the field. Any use of location data, mapping features, or related functionality is at your own risk.

The availability and performance of location services and other device-dependent features may vary based on your device, operating system, network connectivity, and third-party service providers. Hunt HQ LLC is not responsible for any limitations, failures, or inaccuracies arising from such dependencies.

Certain features, including location data and uploaded media, may be visible to other Users within your Camp, subject to the functionality and permissions configured by the App and the Camp’s Administrator(s).

6. Messaging and Communications

Messaging, notifications, and communication features within the App are provided for convenience only and are not intended to function as an emergency, safety, or real-time communication system.

Hunt HQ LLC does not guarantee that messages, alerts, or notifications will be delivered, received, displayed, or acted upon in a timely, accurate, or reliable manner. Messages may be delayed, lost, delivered out of order, or not delivered at all.

You acknowledge and agree that the App’s messaging and communication features must not be relied upon for safety-critical decisions, real-time coordination, navigation, or any situation where failure, delay, or inaccuracy could result in harm, injury, or damage.

All communications within the App are generated by Users. Hunt HQ LLC does not control, monitor, or verify the content, accuracy, or intent of any messages, and is not responsible for any misunderstandings, miscommunications, disputes, or actions taken by Users based on such communications.

The availability and performance of messaging and notification features depend on factors outside of Hunt HQ LLC’s control, including device capabilities, operating systems, network connectivity, and third-party service providers. Hunt HQ LLC is not responsible for any failures, delays, or disruptions resulting from such dependencies.

Messaging and communication features occur within a Camp-based environment, and visibility of communications may be subject to the structure, permissions, and actions of the Camp’s Administrator(s) and Users. Hunt HQ LLC does not manage or control how Users communicate, interpret, or act upon information shared within a Camp.

7. Payments, Subscriptions, and Stripe

Certain features of the App require an active Subscription associated with a Camp. By purchasing or maintaining a Subscription, you authorize Hunt HQ LLC and its designated third-party payment processor(s), including Stripe, to charge the applicable fees to the payment method provided in connection with the Subscription.

Access to the App and its features is contingent upon the maintenance of an active and valid Subscription. If a Subscription is canceled, expires, or payment fails, Hunt HQ LLC reserves the right to suspend, restrict, or terminate access to the App or certain features without notice.

Payment processing services are provided by third-party providers, including Stripe, and are subject to their respective terms, policies, and security practices. Hunt HQ LLC does not process, store, or control payment information and is not responsible for any errors, interruptions, security issues, or failures arising from such third-party payment processors.

All fees are non-refundable except as required by applicable law or as expressly stated in a separate refund or billing policy, if applicable.

Additional terms governing Subscriptions, billing, renewals, and payment responsibilities are set forth in the Terms of Use and are incorporated herein by reference.

8. Third-Party Services

The App may integrate with, rely upon, or provide access to third-party services, systems, and providers, including but not limited to payment processors (such as Stripe), mapping and location services, hosting and cloud infrastructure, communication and notification services, and other external platforms or tools (“Third-Party Services”).

Hunt HQ LLC does not own, operate, control, or maintain any Third-Party Services and makes no representations or warranties regarding their performance, availability, reliability, security, or accuracy.

The availability and functionality of certain features of the App may depend on Third-Party Services, which may be modified, interrupted, degraded, or discontinued at any time without notice. Hunt HQ LLC is not responsible for any impact on the App or your use of the App resulting from such changes or disruptions.

Hunt HQ LLC shall not be liable for any errors, failures, delays, data loss, security issues, or damages arising from or related to the use of or reliance on any Third-Party Services.

Your use of Third-Party Services may be subject to separate terms, conditions, and policies imposed by those providers, and you are responsible for reviewing and complying with such terms.

By using the App, you acknowledge and agree that certain functionality depends on Third-Party Services and that Hunt HQ LLC is not responsible for the performance or behavior of such services.

9. Safety Disclaimer

The App is designed to improve organization, communication, and awareness within a Camp environment by providing tools that help Users share information and coordinate activities.

The App is a software tool and is not a safety device. It is not intended to serve as a primary safety system, emergency response tool, or guaranteed real-time coordination or risk mitigation solution.

The App is used in connection with outdoor activities, including but not limited to hunting, firearm use, land access, and group coordination, all of which involve inherent risks of injury, death, property damage, and other hazards.

You acknowledge and agree that Hunt HQ LLC does not control, supervise, monitor, or participate in any activities conducted by Users, and does not verify the location, actions, or conduct of any User. Hunt HQ LLC makes no representations or guarantees regarding the safety, coordination, awareness, or behavior of any Users or Camps.

Features of the App, including but not limited to messaging, notifications, location services, mapping, stand reservations, and activity tracking, are provided for informational and convenience purposes only and may be inaccurate, incomplete, delayed, or unavailable. These features are intended to supplement, but not replace, individual judgment, awareness, and safe practices, and should not be relied upon as a primary source for safety, navigation, or real-time decision-making in the field.

You are solely responsible for your actions, decisions, and safety while using the App and for complying with all applicable laws, regulations, and safe practices, including those related to hunting, firearm use, land access, and outdoor activity.

To the fullest extent permitted by law, Hunt HQ LLC shall not be responsible or liable for any injuries, death, property damage, accidents, incidents, or losses arising out of or related to your use of the App or participation in any activities associated with its use.

10. Intellectual Property

The App, including all software, code, features, functionality, design, user interface, content, materials, and underlying technology, as well as all trademarks, service marks, logos, and branding associated with Hunt HQ LLC and HNTCamp (collectively, the “Intellectual Property”), are and shall remain the exclusive property of Hunt HQ LLC and its licensors, and are protected by applicable intellectual property and proprietary rights laws.

Except for the limited license expressly granted under this Agreement, no rights, title, or interest in or to the Intellectual Property are transferred or granted to you. All rights not expressly granted herein are reserved by Hunt HQ LLC.

You may not use, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any portion of the Intellectual Property except as expressly permitted under this Agreement.

You may not use the Hunt HQ LLC or HNTCamp names, logos, or branding without prior written consent from Hunt HQ LLC.

If you provide Hunt HQ LLC with any feedback, suggestions, ideas, or recommendations regarding the App (“Feedback”), you grant Hunt HQ LLC a worldwide, perpetual, irrevocable, royalty-free right to use, incorporate, and exploit such Feedback for any purpose without restriction or compensation to you.

11. Termination

Hunt HQ LLC reserves the right, at its sole discretion, to suspend, restrict, or terminate your access to the App at any time, with or without notice, for any reason, including but not limited to violations of this Agreement, applicable policies, or conduct that may create risk, harm, or liability for Hunt HQ LLC or other Users.

Access to the App is provided through a Camp-based structure. Your access may also be suspended or terminated if:
(a) you are removed from a Camp by an Administrator; or
(b) the applicable Camp Subscription is canceled, expires, or becomes inactive.

If you are an Administrator, you may remove Users from your Camp at your discretion, which will result in the termination of such Users’ access to the App as it relates to that Camp.

You may discontinue use of the App at any time; however, termination of your individual use does not affect any active Subscription associated with a Camp unless canceled in accordance with the applicable Terms of Use.

Upon suspension or termination for any reason:
(i) your license to use the App shall immediately terminate;
(ii) your access to the App and any associated data may be restricted or revoked; and
(iii) certain features or functionality may no longer be available.

Hunt HQ LLC has no obligation to maintain, store, provide access to, or return any data, content, or information associated with your account or a Camp following suspension or termination, except as required by applicable law.

To the fullest extent permitted by law, Hunt HQ LLC shall not be liable for any loss of access, loss of data, or other damages arising from or related to the suspension or termination of your access to the App.

Any provisions of this Agreement that by their nature should survive termination, including but not limited to intellectual property rights, disclaimers, limitation of liability, and indemnification, shall survive any termination or expiration of this Agreement.

12. Disclaimer of Warranties

The App is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory.

To the fullest extent permitted by law, Hunt HQ LLC expressly disclaims all warranties, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

Hunt HQ LLC does not warrant that the App will be uninterrupted, secure, or error-free, or that any defects will be corrected.

Hunt HQ LLC makes no representations or warranties regarding the accuracy, reliability, completeness, or timeliness of any information, data, or functionality provided through the App, including but not limited to messaging, notifications, location services, mapping, stand reservations, or activity tracking features.

The App may experience delays, interruptions, or other limitations, and you acknowledge that use of the App is at your sole risk.

Hunt HQ LLC does not warrant that the App will operate without interruption or that it will be compatible with all devices, systems, or third-party services.

13. Limitation of Liability

To the fullest extent permitted by law, Hunt HQ LLC and its owners, members, officers, employees, affiliates, and licensors shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to your access to or use of, or inability to access or use, the App.

This includes, without limitation, any damages or losses related to:
(a) injury, death, or property damage arising from outdoor, hunting, firearm, land-use, or related activities;
(b) user conduct, interactions, or disputes;
(c) reliance on messaging, notifications, location services, mapping, or other App features;
(d) errors, inaccuracies, delays, or interruptions in the App;
(e) loss, corruption, or unavailability of data; and
(f) failures or disruptions of third-party services.

To the fullest extent permitted by law, Hunt HQ LLC’s total cumulative liability for any claims arising out of or relating to the App shall not exceed the total amount paid, if any, for the applicable Camp Subscription during the three (3) months immediately preceding the event giving rise to the claim.

The limitations set forth in this section shall apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and regardless of whether Hunt HQ LLC has been advised of the possibility of such damages.

Nothing in this Agreement is intended to exclude or limit liability to the extent that such limitation is prohibited by applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Hunt HQ LLC and its owners, members, officers, employees, affiliates, and licensors (collectively, the “Indemnified Parties”) from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

(a) your access to or use of the App;
(b) your violation of this Agreement or any applicable Terms of Use or policies;
(c) any content, data, or information you submit, post, or share through the App;
(d) your interactions, conduct, or disputes with other Users or within a Camp;
(e) your violation of any applicable law or regulation, including those related to hunting, firearms, wildlife, or land use; and
(f) any injury, death, property damage, or other harm arising out of or related to your actions or activities in connection with the use of the App.

If you are an Administrator of a Camp, you further agree to indemnify and hold harmless the Indemnified Parties from any claims arising out of or related to the activities, conduct, or disputes of Users within your Camp.

Hunt HQ LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully with such defense.

This indemnification obligation shall survive termination or expiration of this Agreement.

15. Governing Law

This Agreement and any disputes arising out of or relating to the App shall be governed by and construed in accordance with the laws of the State of Arkansas, without regard to its conflict of laws principles.

Any legal action or proceeding arising out of or relating to this Agreement or the App shall be brought exclusively in the state or federal courts located in Garland County, Arkansas, and you hereby consent to the personal jurisdiction and venue of such courts.

To the extent permitted by applicable law, you agree that any claims shall be brought on an individual basis and not as part of any class, collective, or representative action.

16. Changes

Hunt HQ LLC reserves the right to modify or update this Agreement at any time, at its sole discretion.

Updated versions of this Agreement may be posted within the App, on Hunt HQ LLC’s website, or communicated to Users through reasonable means, including in-app notifications or email. The effective date of any updates will be indicated at the top of the Agreement or as otherwise specified.

It is your responsibility to review this Agreement periodically for changes. Your continued access to or use of the App after any updates become effective constitutes your acceptance of the revised Agreement.

Hunt HQ LLC also reserves the right to modify, suspend, or discontinue any aspect of the App, including features, functionality, or availability, at any time without notice or liability.
